Please read these terms carefully before using NearWord.

1. Acceptance of Terms

By downloading, installing, or using NearWord ("the Application"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Application.

These Terms constitute a legal agreement between you and NearWord. We may update these Terms from time to time, and your continued use of the Application after such changes constitutes acceptance of the new Terms.

2. Description of Service

NearWord is a cross-platform desktop vocabulary learning application that provides:

  • Instant word lookup and definitions from various dictionary sources
  • A non-intrusive overlay displaying word information
  • A personal word collection for saving and organizing vocabulary
  • Spaced repetition review system for effective memorization
  • AI-powered contextual explanations (optional feature)

The Application is provided "as is" and we make no guarantees about the availability, accuracy, or completeness of dictionary definitions or AI-generated content.

3. System Requirements

To use NearWord, you need:

  • A supported version of macOS, Windows, or Linux
  • Internet connection for dictionary lookups and AI features
  • Any required OS permissions granted to the Application (varies by OS)

You are responsible for ensuring your system meets these requirements. We are not responsible for issues arising from incompatible systems.

4. User Responsibilities

When using NearWord, you agree to:

  • Use the Application only for lawful purposes
  • Not attempt to reverse engineer, decompile, or modify the Application
  • Not use the Application for automated scraping of dictionary content
  • Not circumvent any security features or access restrictions
  • Not redistribute or resell the Application or its content
  • Respect the intellectual property rights of dictionary and content providers

Violation of these responsibilities may result in termination of your access to certain features or the Application itself.

5. Intellectual Property

NearWord Software

The NearWord application, including its code, design, and user interface, is protected by copyright and other intellectual property laws. You are granted a limited, non-exclusive license to use the Application for personal, non-commercial purposes.

Dictionary Content

Dictionary definitions and linguistic data are provided by third-party services and remain the property of their respective owners. Your use of this content is subject to those providers' terms.

Your Content

Your word collection, notes, and learning data belong to you. We claim no ownership over content you create using the Application. You retain full rights to export, backup, or delete your data at any time.

6. Disclaimers

THE APPLICATION IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

We specifically disclaim:

  • Accuracy: Dictionary definitions and AI explanations may contain errors. We do not guarantee the accuracy, completeness, or reliability of any content.
  • Availability: The Application and its features may be unavailable due to maintenance, technical issues, or third-party service outages.
  • Learning outcomes: We make no guarantees about vocabulary improvement or learning results from using the Application.
  • Compatibility: We do not guarantee compatibility with all macOS, Windows, or Linux versions, or configurations.

7. Limitation of Liability

To the maximum extent permitted by law, NearWord and its developers shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages arising from your use of the Application
  • Loss of data, profits, or business opportunities
  • Errors or inaccuracies in dictionary definitions or AI content
  • Service interruptions or unavailability
  • Actions of third-party service providers

Our total liability for any claims arising from your use of the Application shall not exceed the amount you paid for the Application (if any).

8. Modifications to Service

We reserve the right to:

  • Modify, suspend, or discontinue any feature of the Application
  • Update the Application with new features, improvements, or bug fixes
  • Change third-party service providers for dictionaries or AI features
  • Introduce new pricing or licensing terms for future versions

We will make reasonable efforts to notify users of significant changes through the Application or our website. However, continued use after changes constitutes acceptance of those changes.

9. Termination

By You

You may stop using the Application at any time by uninstalling it from your system. Your locally stored data may remain unless you delete it or export it first.

By Us

We may terminate or suspend your access to certain features if you violate these Terms. We may also discontinue the Application entirely with reasonable notice to users.

Effect of Termination

Upon termination, your license to use the Application ends. Sections regarding intellectual property, disclaimers, and limitation of liability survive termination.

10. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or your use of the Application shall first be attempted to be resolved through good-faith negotiation.

If negotiation fails, disputes may be resolved through binding arbitration or in the courts of competent jurisdiction.
